We have seen so many documents challenged by the opposing party in courts. Poorly drafted documents can put a party in an extremely disadvantageous position.
Comparing to the staff attorneys or in-house counsels we have more hands-on experience, because we deal with new issues all the time.
Moreover, we do not only review legal terms, but also we take tax into consideration. We have established internal procedures on document reviews. Normally, the documents to be reviewed shall go through legal and taxation scrutiny. Most of them shall be drafted and reviewed by at least a lawyer and/or a tax adviser.
The documents we draft and review mainly include but are not limited to: investment agreements, board resolutions and other different sorts of contracts such as purchase and sales agreements, lease agreement, loan agreement (mortgage), settlement agreement etc.
